In order to implement the spirit of the Several Policy Measures of Shanghai Municipality to Fully Prevent and Control the Epidemic and Support and Serve the Stable and Healthy Development of Enterprises and the relevant work requirements of the Shanghai Municipal State-owned Assets Supervision and Administration Commission (SHSASAC), carry out the policy on the reduction and exemption of house rent of small and medium-sized enterprises, help small and medium-sized enterprises cope with the epidemic and overcome difficulties, and effectively reduce the burden on small and medium-sized enterprises, Shanghai International Group (SIG) has researched and formulated the Implementation Plan of Shanghai International Group Co., Ltd. for the Reduction and Exemption of House Rent of Small and Medium-sized Enterprises, and its subsidiaries, Shanghai State-owned Assets Management Co., Ltd. (hereinafter referred to as "SHSAM") and SIG Asset Management Co., Ltd. (hereinafter referred to as "SIGAM") have formulated the implementing rules respectively. The matters related to the reduction and exemption of house rent of small and medium-sized enterprises by the aforesaid two subsidiaries of SIG are hereby notified as follows:
I. Shanghai State-owned Assets Management Co., Ltd.
(I) Implementing subject
Qualified subject holding own operating property in SHSAM's system, namely, Shanghai Guozhi Real Estate Development Co., Ltd.(hereinafter referred to as “Guozhi Real Estate”).
(II) Applicable objects
Non-state-owned small and medium-sized enterprises that have signed a contract on leasing Guozhi Real Estate's own operating real estate to engage in production and business activities. The scope of small and medium-sized enterprises shall be determined based on their industries in accordance with relevant provisions of the Circular on Issuing the Provisions on Classification Standards of Small and Medium-sized Enterprises (GXBLQY [2011] No. 300, hereinafter referred to as the "Provisions on Classification Standards of Small and Medium-sized Enterprises").
(III) Methods of rent reduction and exemption
1. For eligible small and medium-sized enterprises that have signed a contract on leasing Guozhi Real Estate's own operating property to engage in production, office, commercial supporting and other business activities, their house rents for February and March 2020 are proposed to be reduced and exempted.
2. In case of an indirect lease, the sublessor shall not enjoy this reduction and exemption policy in principle. The sublessor shall allocate all reduced and exempted rents to the actual operating lessee, so as to ensure actual operating small and medium-sized enterprises are ultimate beneficiaries.
(IV) Application and acceptance
1. To enjoy this reduction and exemption policy, a small or medium-sized enterprise shall file an application which shall be examined and verified, and Guozhi Real Estate shall be responsible for accepting the application. 2. The materials required to be submitted by the applicant include but are not limited to: the application for rent exemption, the lease contract signed by and between the lessee and Guozhi Real Estate (in case of indirect sublease, the lease contract made by and between the actual operating lessee and the sublessor shall also be provided), a copy of the lessee's business license, the name and equity ratio of the controlling shareholder, financial statements of the lessee for 2019 (balance sheet and income statement), the Notice on Payment of Shanghai Municipal Social Insurance Premium in December 2019 and other necessary materials (subject to the requirements and notices of Guozhi Real Estate). All materials submitted by the applicant must be affixed with the official seal.
3. Acceptance methods: including online acceptance and on-site acceptance. The scanned copies of materials submitted by the applicant shall be sent to the e-mail: zhanghao@sigchina.com, with the originals affixed with seals to be submitted in writing before the deadline for application.
4. Deadline for application: March 31, 2020.
The applicant shall be responsible for the authenticity and completeness of the information and related materials provided. If the provided information and related materials are inconsistent with the actual situation upon verification, corresponding consequences arising therefrom will be borne by the applicant on its own.

(I) Implementing subject
(II) Applicable objects
Non-state-owned small and medium-sized enterprises that have signed a contract on leasing the aforesaid implementing subject's own operating property to engage in production and business activities. Specifically:
1. The scope of small and medium-sized enterprises shall be determined based on their industries in accordance with relevant provisions of the Provisions on Classification Standards of Small and Medium-sized Enterprises.
2. The scope of state-owned enterprises shall refer to the Measures for the Supervision and Administration of the Trading of State-owned Assets in Enterprises (Order of the State-owned Assets Supervision and Administration Commission of the State Council and the Ministry of Finance No. 32).
(III) Methods of rent reduction and exemption
For non-state-owned small and medium-sized enterprises, their house rents for February and March 2020 shall be reduced and exempted. Specifically, in case of indirect lease of property of the above-mentioned implementing subject, the sublessor (lessee) shall not enjoy this reduction and exemption policy. On the premise that the sublessor (lessee) effectively allocates all reduced and exempted rents to the eligible actual operating sub-lessee (by referring to aforesaid Article 2 Applicable objects), the above-mentioned implementing subject shall reduce and exempt the house rent of the sublessor (lessee) for February and March 2020 within the total amount not more than the rent of the eligible actual operating sub-lessee reduced and exempted by the sublessee (lessee). For the avoidance of doubt, the sublease by the sublessor (lessee) must obtain the consent of the above-mentioned implementing subject.
For other matters uncovered herein related to the policy on rent reduction and exemption, the way of "one policy for one enterprise" and "one decision made for one matter" shall be adopted according to the actual condition, and the principle of effectively supporting the production and operation of small and medium-sized enterprises affected by the epidemic shall be persisted to guarantee that small and medium-sized enterprises engaged in actual production and operation are ultimate beneficiaries. Other matters uncovered herein shall be implemented after being approved by the above-mentioned implementing subject under the internal decision-making procedures.
(IV) Application and acceptance
The applicant shall, by e-mail, express delivery of paper document and other ways, directly submit the application for rent reduction and exemption and relevant materials to the implementing subject that signs a lease contract with the applicant.

The deadline for application shall be March 31, 2020, and the acceptance time shall be from 9: 00 to 17: 30 on Monday to Friday.
The above-mentioned implementing subject shall feed back the audit opinions in written after verifying the applicant meets the condition for rent reduction and exemption. The reduced and exempted rent of the lessee shall be subject to the amount notified by the above-said implementing subject ultimately.
The applicant shall truthfully and faithfully submit relevant information materials and be responsible for the authenticity, accuracy and completeness of the submitted information and application materials. If the above-mentioned implementing subject finds that the information materials submitted by the applicant are untrue, inaccurate or incomplete during or after the rent reduction and exemption, the above-mentioned implementing subject shall have the right to reject the application of the applicant without approving the rent reduction or exemption, and to require the applicant to make a supplementary payment for the reduced and exempted rent, until the lease contract signed with the applicant is terminated in advance.
